Rental Books

Software License Agreement

United States offering | Version 1.2, effective October 28, 2026

This Agreement covers permanent desktop use, optional annual upgrades, and separately purchased modules. Your purchased desktop license does not expire when you stop upgrading. Online services are not included in this Agreement; if we offer them in the future, they will be sold separately under their own terms, disclosed before purchase (Section 7).

1 Agreement and acceptance

This Software License Agreement ("Agreement") is between ABL Incorporated, doing business as Rental Books ("Rental Books," "we," "us," or "our") and the individual or legal entity identified as the purchaser in the applicable order ("you" or "your"). If you accept for an entity, you represent that you have authority to bind it. You must be at least 18 years old and legally able to enter this Agreement. ABL Incorporated’s principal office is at 23430 456th Avenue, Madison, SD 57042, USA, and its mailing address is PO Box 318, Black Hawk, SD 57718, USA.

This Agreement takes effect when you affirmatively accept it through the purchase or installation process. We will make it available for you to read and retain before acceptance. If you do not agree, do not accept or use the Software; if you have already paid, contact us under the refund provisions below. A receipt or order confirmation identifies the purchased products, price, license scope, and upgrade period. Save that record and a copy of this Agreement.

This offering is initially for purchasers in the United States. It is intended for business bookkeeping. Describing a purchase as business use does not remove any consumer rights that applicable law gives you. Only operating systems and configurations expressly identified as supported for a release are supported; this Agreement does not promise a macOS edition or any other platform that has not been released.

2 Definitions

"Desktop Books" means the Rental Books foundational desktop bookkeeping software. "Software" means Desktop Books and any separately licensed desktop modules supplied by Rental Books, including documentation and releases covered by your license. "Licensed Versions" means the purchased release and releases of that same purchased edition made available to you during an included or paid upgrade period, whether downloaded during that period or later.

"Upgrade Plan" means an optional 12-month entitlement to covered new releases. "Module" means an optional add-on with its own disclosed functionality, requirements, and license terms. "Online Services" means optional hosted services that we may offer in the future; no Online Service is included in, or sold under, this Agreement. "Seat" means one activated computer, as described in Sections 3 and 4. "Activation" means the one-time registration of a computer against your license, as described in Section 4.

"Your Data" means records, entries, files, and other content that you or your authorized users enter, upload, or lawfully import. "Core Books Records" means your bookkeeping entries and supporting accounting data held in Books, including account and transaction details, balances, and associated customer, vendor, property, unit, and other business records. Third-party reports, provider databases, and third-party intellectual property are not ours to transfer ownership of merely because they can be accessed through Books.

3 Permanent desktop license and permitted users

Upon payment, we grant you a nonexclusive, perpetual license to install and use your Licensed Versions for your own business operations, subject to this Agreement. Perpetual means that the use right has no scheduled expiration; it does not mean perpetual technical support or compatibility with all future systems. The license may end only as described in Section 18, including a refund of the associated purchase or an uncured material breach.

One license covers you and the businesses you own or control. That includes an unlimited number of entities — for example sole proprietorships, partnerships, limited liability companies, corporations, and trusts that you own, control, or serve as trustee for — and an unlimited number of properties and units in those entities. There is no per-entity, per-property, or per-unit fee. Your license includes five (5) Seats. A Seat is one activated computer, not one person: more than one authorized user may use the Software on the same activated computer without using another Seat. You may buy additional Seats for a one-time charge at the then-disclosed price; an additional Seat, once bought, is part of your license on the same terms.

You may permit your employees, contractors, and outside accountants to use the Software on your activated computers, solely for the covered businesses. You are responsible for your authorized users and must remove their access when their authority ends. Your outside accountant may not use your license or your activated computers for unrelated clients.

Running your own property-management business is covered use. Keeping, as part of that business, the books and records of that business — including owner and tenant ledgers, security-deposit and other trust-money records, and owner statements for properties you manage — is part of your own business operations under this license. What this license does not cover is keeping the separate books of other, unrelated businesses as a bookkeeping service for them, resale, a service bureau for unrelated businesses, or making the Software generally available to third parties, unless a separate written order expressly allows it; those other businesses need their own licenses. You may make backup and archival copies, and you may reinstall a Licensed Version on a compatible replacement computer after deactivating the replaced computer (Section 4). These permissions do not create concurrent database access or synchronization capabilities that the Software does not support.

4 Permanent use without upgrade-related lockout

You do not have to renew an Upgrade Plan or buy a Module to continue using a validly licensed desktop version. We will not remotely disable that desktop version, impose a recurring license-expiration check, or withhold your locally stored Core Books Records merely because you stop buying upgrades or modules. Ending or never buying a separate service does not cancel a separately paid, unrefunded desktop license. The check-in and pause for an unpaid Payment Plan (Section 10A) are not a lockout for stopping upgrades; they apply only while the plan is unpaid and end permanently when it is paid in full.

Activation. Each computer is activated once, over the internet, using your license key. After a computer is activated, the Software does not require recurring check-ins and will not lock you out for being offline. While a Payment Plan for the purchase is unpaid, Section 10A adds a periodic check-in and a pause for a computer that goes too long without one; both end permanently when the plan is paid in full. When the Software is online anyway, it may quietly check the status of its activation (for example, to confirm that the license has not been refunded or that the computer has not been deactivated); a failed or unavailable check never disables the Software; for a license being paid for on a Payment Plan, a check may instead confirm the pause described in Section 10A. If a computer cannot get online for its one-time activation, support may issue a signed offline activation file tied to that one license and that one computer. You may deactivate a computer yourself — in the Software, in your customer account, or by contacting support — which frees its Seat. If a deactivated computer later comes back online and its status is checked, its activation will be revoked. We may also verify a purchase when delivering, reinstalling, or replacing a license; verification does not create a recurring payment condition for continued desktop use, other than the Payment Plan payments themselves while a Payment Plan is unpaid (Section 10A). Passwords, encryption, device security, and lawful access controls still apply. We cannot promise recovery of lost credentials, corrupted files, or records for which no usable backup exists.

Keep a copy of your licensed installer, license evidence, required runtime files, and backups. You may retain and use these copies after we stop selling a release or operating a download service. This Agreement does not guarantee that our website, installer archive, activation assistance, or support will remain available indefinitely. Sections 8 and 9 explain system compatibility and data portability.

5 Included upgrades and optional annual renewal

The initial Desktop Books purchase includes 12 months of the Upgrade Plan beginning on the purchase date. During a covered period, you receive rights to new releases and improvements of the purchased Desktop Books edition that we make generally available to customers on that plan. Separately sold modules, other editions, Online Services, third-party charges, and professional services are not included unless the order expressly includes them. We do not guarantee a particular number of releases or future features.

The Upgrade Plan does not renew automatically. We may invite you to buy another 12-month period at the then-disclosed price, but we will not charge you without a new purchase authorization. A renewal purchased before the current period ends begins when that period ends. A purchase after a lapse begins on the new purchase date, includes the then-current release of your purchased edition, and does not require payment for skipped years.

When coverage ends, your rights to Licensed Versions remain. You may install an entitled release later, subject to availability of a retained or supplied installer and system compatibility. Releases first made available after coverage ends require a new upgrade purchase unless we expressly provide them without charge. A paid upgrade does not guarantee that any particular old operating system will run the new release.

6 Optional modules and separate purchases

Desktop Books is the foundation for optional modules. Buying the foundation does not buy every present or future module. Before a module purchase, we will identify its price, whether its license is perpetual or subscription based, its supported Books versions, and any separate service or usage charges. Subscription features may end when their paid period ends; the independent Desktop Books license remains.

We will disclose a required foundation upgrade before selling a module that needs it. We will not silently charge for that upgrade. Module data, export options, and any necessary compatible module license will be described in the module terms. Supplemental terms may govern that module but may not retroactively convert an already purchased permanent Desktop Books license into a subscription. A roadmap, demonstration, or mention of a future offering is not a promise that it will be released or included.

7 Optional Online Services — future offerings only

No Online Service is included in or sold under this Agreement, and this Agreement does not enroll you in, or authorize any charge for, an Online Service. If we offer an Online Service in the future, it will be optional and separately priced, and it will require a separate order and service terms — disclosed and accepted before enrollment — describing its functionality, fees, renewal and cancellation, data handling and record retrieval, and any provider conditions. Recurring billing for any future Online Service will require your separate express consent after those disclosures, and a simple cancellation method will be provided in those terms.

A valid Desktop Books license may be required to enroll in a future Online Service designed to work with Desktop Books. Keeping an Upgrade Plan active will not be a condition of retaining your desktop license. Service terms for a future Online Service may not retroactively convert an already purchased permanent Desktop Books license into a subscription, or condition access to your locally stored Core Books Records on payment for that service.

8 System compatibility, updates, and support

A permanent license is permission to use the purchased functionality. It is not a promise that an unchanged release will run on every future version of Windows, macOS, a browser, a processor, or another technology. We may revise supported systems for new releases and discontinue support for older releases. Existing desktop use rights continue even when support ends. We do not promise free compatibility upgrades, maintenance of every historical release, or development of a future viewer for all future systems.

Standard email support for the purchased edition is included during its initial 12-month Upgrade Plan and any paid renewal period, for then-supported releases. Standard support covers installation and normal product operation; it does not include bookkeeping work, tax or legal advice, custom conversion, training, on-site work, or guaranteed response or resolution times. Separately priced assistance requires your agreement before work is billed. Refund and license-rights inquiries may be submitted even when paid support has ended.

Before installing an update, preserve a usable backup and review system requirements. Database upgrades may not be reversible. Older applications may not read files saved by newer applications. An Online Service may use capabilities beyond your last Licensed Version; the export protections below preserve your records but do not grant every newer paid feature. We will not install a chargeable desktop upgrade without authorization. You may decline optional desktop updates, although unsupported or insecure configurations may no longer connect to Online Services.

9 Your records and backups

You retain your rights in Your Data. We acquire no ownership of your business records through this Agreement. You grant us only the limited rights needed to process data you choose to send to us to provide the purchased service, respond to your support requests, secure the service, and meet legal obligations, as further explained in the applicable privacy notice and service terms. We will not sell your private bookkeeping records or use them to train general-purpose AI models without a separate affirmative authorization.

You are responsible for regularly making and verifying backups, preserving necessary attachments and credentials, and meeting your recordkeeping duties. A cloud-synchronized folder is not a guarantee of a consistent database backup. Use supported backup and sharing procedures. We do not receive or back up your desktop records merely because you purchased a license. A local backup remains under your control and may be retained without an ongoing payment to us.

Your Core Books Records are stored locally unless you choose to send them to us (for example, for support) or later enroll in a separate Online Service. If an Online Service is offered, its terms — disclosed before enrollment — will describe how to download records held by that service when it ends. Those terms may not convert your desktop license into a subscription or condition retrieval of your locally stored records on any payment. Download and verify your own backups: permanent local safekeeping does not mean permanent free hosting, storage, or restoration by us.

10 Prices, payment, and refund rights

Prices, applicable taxes, and separately chargeable items will be disclosed at checkout. You authorize only charges you approve. You must provide accurate billing information and pay applicable taxes other than taxes on our net income. We will provide an order confirmation identifying what you purchased. A billing dispute alone does not forfeit a paid desktop license or authorize us to alter your records.

Initial Desktop Books purchase: request a full refund within 90 calendar days after purchase for any reason, without proving a defect. Desktop Upgrade Plan purchase or renewal: request a full refund within 30 calendar days after that purchase. Submit the request to help@getrentalbooks.com with enough information to locate the order. A request sent within the applicable period is timely even if processed later. Reasonable purchase verification is permitted. We will initiate an eligible refund to the original payment method within 10 business days after verification; bank processing time may vary. If that method is unavailable, we will arrange a reasonable alternative.

A full initial-purchase refund ends the license and included upgrade rights purchased with that order. You must stop ordinary use of the refunded Software and uninstall it after exporting your records. An upgrade refund ends only rights obtained through that refunded upgrade; previously paid, unrefunded versions remain licensed. We will not delete, encrypt, or confiscate your data to enforce a refund, and your local records and any exports you have made remain yours.

If a refunded upgrade changed a database, do not assume the earlier version can open it. Keep the pre-upgrade backup and, before uninstalling, export your records to preserve intervening entries. Contact support for available export instructions. A refund does not guarantee automatic reversal of every data-format migration.

Modules and separately purchased migration, consulting, or transaction services have the refund terms expressly disclosed in their own orders. Refunding the foundational license ends eligibility for dependent Modules; contact us to arrange any needed record retrieval. Previously performed services remain governed by their disclosed terms. Nothing here limits refunds, cancellation rights, charge disputes, or remedies that applicable law requires.

10A Payment plan for the initial purchase

At checkout, we may offer you the choice to pay the initial Desktop Books purchase price over time instead of all at once (a "Payment Plan"). If you choose a Payment Plan, you pay 20 monthly payments of $33.00, a total of $660.00, instead of the one-time price of $595.00. The first payment is due at purchase, and the remaining payments are charged monthly to the payment method you provide at checkout. A discounted or promotional price — including any founding-buyer price — is payable in full only and is not available on a Payment Plan unless the offer expressly says otherwise. A Payment Plan is a way of paying the purchase price over time; it is not a subscription, and the payments end for good when the plan is paid in full.

Until a Payment Plan is paid in full, the license is not yet fully paid for, and this Section adds the following terms. While any part of a Payment Plan is unpaid, each activated computer must successfully check in online at least once every 60 days to confirm the plan is current. A check-in is a brief status confirmation; it is not a new Activation and does not use a Seat. If a computer goes more than 60 days without a successful check-in, the Software on that computer pauses — it will not open your books — until it reconnects and confirms the plan is current.

If a monthly payment fails, the Software keeps working while you fix it. We will retry the payment method automatically and send reminder notices, and you have 14 days from the failed payment to pay the amount due. If the amount due is still unpaid after those 14 days, the Software pauses: it stops opening your books until the amount due is paid. Paying the amount due ends the pause, and the Software resumes normal use. You may pay the remaining balance in full at any time, for exactly the amount still owed. You may cancel a Payment Plan at any time, but cancelling stops future charges only; if you cancel, or payments stop for good, the Software pauses and stays paused until the plan is paid in full. You do not fully own the license until the plan is paid off.

A pause under this Section is not a termination of your license, and it never deletes, moves, encrypts, or otherwise changes Your Data. Your books stay on your computer exactly as they were. When the 20th payment is made, the Payment Plan ends: the license is fully paid and fully yours, the check-in and pause terms in this Section stop applying permanently, and the rest of this Agreement — including Section 4's permanent use without lockout — applies in full.

The refund rights in Section 10 apply to a Payment Plan purchase in the same way. If you obtain a refund of the initial purchase within the period stated in Section 10, we will refund the amounts you actually paid under the Payment Plan, the Payment Plan is cancelled, and the license ends as Section 10 describes.

A Payment Plan is not the Upgrade Plan. The 12 months of Upgrade Plan coverage included with the initial purchase begin on the purchase date whether you pay all at once or on a Payment Plan, and the optional Upgrade Plan renewals in Section 5 are separate from, and unchanged by, a Payment Plan.

11 Third-party and regulated services

Optional services may rely on independent providers and may require separate eligibility checks, accounts, authorizations, fees, and terms. We will identify material third-party conditions before you order the affected service. You are responsible for lawful authority to request and use its results and for legally required notices, consents, retention, and disposal. We retain responsibility for our own legal duties; this clause does not shift them to you.

Third-party availability and rights may change. We do not guarantee uninterrupted third-party service or that every service result is accurate, legally sufficient, downloadable, or permanently available. Service-specific terms must explain material limits and remedies. A provider’s end of service does not terminate your Desktop Books license or ownership of your records. Services involving regulated information or legally significant actions require appropriate supplemental terms before launch; this general Agreement does not by itself supply all necessary authorizations.

12 Your responsibilities and professional judgment

You are responsible for accurate entry and review of transactions, access permissions, reconciliations, backups, and verification of imported balances and reports. Review a migration on a preserved copy before relying on it. Rental Books is a software provider and does not provide accounting, tax, legal, investment, lending, or property-management advice under this Agreement. Software output does not replace a qualified professional or your responsibility to meet filing, payment, housing, privacy, and record-retention duties.

Protect credentials, limit access, keep devices reasonably secure, and promptly report suspected unauthorized account use. Obtain rights and permissions needed for data you upload or import. You may not use the Software or Online Services for unlawful discrimination, unauthorized access, fraud, malware distribution, or infringement. You may not interfere with systems, bypass payment or access controls, share licenses outside the permitted scope, or rent, sublicense, or redistribute our Software without permission. Reverse engineering and interoperability activities remain permitted to the extent applicable law or a controlling third-party license requires.

13 Intellectual property and third-party software

Rental Books and its licensors retain ownership of the Software, documentation, trademarks, and other intellectual property, except Your Data and your preexisting materials. You receive the rights expressly granted here, not ownership of our code. You must preserve applicable proprietary notices. Your ownership of records does not give a right to redistribute our program.

Open-source and other third-party components are governed by their applicable license notices. Those licenses control to the extent of a conflict concerning those components. This Agreement does not restrict rights they grant or excuse us from required notices or source-code obligations. Separately downloaded runtimes may carry their own terms. You are not required to transfer ownership of your data or business work to us as a condition of using Books.

14 Privacy and confidentiality

Our privacy notice will explain information collected through purchases, support, licensing, and any online functions. We will disclose material collection and sharing before the relevant use; accepting this Agreement is not blanket consent to unrelated marketing or undisclosed collection. Uploading data for support is optional unless needed to investigate your requested issue. Send only information reasonably necessary and use the secure transfer method we provide.

Each party will protect the other’s nonpublic business information with reasonable care, use it only for the agreed purpose, and disclose it only to authorized personnel or providers bound by suitable confidentiality duties, or as legally required. These duties do not cover information lawfully known without restriction, independently developed, publicly available without breach, or lawfully received from another source. Where permitted, a party receiving a compulsory disclosure demand will give reasonable notice. Confidentiality continues while the information remains confidential; trade secrets remain protected as required by law.

Any hosted processing, security commitments, incident notice, data-deletion procedures, and applicable data-processing agreement for a future Online Service will be addressed in that service’s terms and privacy notice before enrollment. No term waives nonwaivable privacy or security obligations. This license is not a substitute for those disclosures.

15 Warranty disclosures

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR THE EXPRESS COMMITMENTS IN THIS AGREEMENT, THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED. WE DO NOT WARRANT ERROR-FREE OR UNINTERRUPTED OPERATION, PERFECT SECURITY, COMPLETE ACCURACY OF ALL OUTPUT, OR COMPATIBILITY WITH EVERY SYSTEM.

These disclaimers do not cancel an express promise in this Agreement, the approved order, or a legally binding product representation. They do not limit the express refund policy or warranties and remedies that law does not allow us to exclude. Some jurisdictions do not allow particular warranty exclusions or duration limits; in that case, the affected limitation applies only to the lawful extent.

16 Limitations of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER UNDER THIS AGREEMENT FOR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING CONSEQUENTIAL LOST PROFITS, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. This exclusion does not automatically classify direct and reasonably necessary data-restoration costs as consequential damages.

Subject to the exceptions below, Rental Books’ total aggregate liability arising from the affected product or service will not exceed the greater of (a) US $100 or (b) the total amounts you paid for the affected desktop license and its upgrades, plus fees paid for any affected Module or separately purchased service in the 12 months before the event giving rise to the claim. Related events are treated as one claim for this limit; different legal theories do not multiply it.

Neither the damages exclusion nor the liability cap limits fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, statutory liability that cannot lawfully be limited, or other nonwaivable rights. The cap does not reduce an express refund owed under this Agreement. Nothing here restricts seeking an injunction or other available nonmonetary remedy to protect data or intellectual-property rights. These provisions allocate business risk only to the extent enforceable under applicable law.

17 Third-party claims

If a third party asserts that your unlawful conduct, unauthorized data submission, or intentional misuse of the Software infringes its rights, you are responsible for resulting liabilities to the extent caused by that conduct. For a business purchaser, this includes reasonable defense costs and amounts finally awarded against Rental Books or agreed in a settlement you approve. It does not cover claims caused by our Software as supplied, our breach, or our negligence or misconduct.

We must promptly notify you of an indemnified claim, permit you to control its defense with competent counsel, and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault for us, requires us to pay or undertake nonmonetary duties, or fails to release us, without our written consent. Our delay in notice reduces your obligation only to the extent it materially prejudices the defense. This clause does not impose obligations that applicable consumer law prohibits.

18 Term, termination, and surviving rights

Your paid desktop license continues indefinitely unless you obtain a refund for it, voluntarily surrender it, or materially breach this Agreement and fail to cure within 30 days after written notice describing the breach. Expiration of upgrades, or a decision not to buy new features, is not a breach.

After valid termination of a desktop license, you must stop ordinary use and remove copies, except for copies you are legally required to retain. We will not remotely erase or encrypt Your Data. Before removing copies after a refund or surrender, you may export your existing records; where access we control is needed to retrieve records, we will allow a reasonable opportunity of at least 30 days where lawful. A court order or unlawful data possession may limit that access.

Ownership of Your Data, accrued payment and refund obligations, confidentiality, intellectual-property provisions, lawful warranty and liability limits, dispute provisions, and any still-applicable record-retrieval rights survive termination. Ending one optional service or module does not automatically end an independently paid, unrefunded Desktop Books license.

19 Notices and electronic records

Send support requests, refund requests, cancellation requests for any separately purchased service, and ordinary legal notices to us at help@getrentalbooks.com. Written notices to ABL Incorporated may also be sent to its mailing address: ABL Incorporated, PO Box 318, Black Hawk, SD 57718, USA. Our principal office address — 23430 456th Avenue, Madison, SD 57042, USA — is disclosed on the Rental Books website and in the purchase disclosures provided before payment. Email notice does not replace service of legal process or a notice method mandated by law. We may send notices to the contact email on your order or service account. Keep it current. A customer request is timely when sent before the applicable deadline if it is not returned as undeliverable; we may ask for delivery evidence or identity verification. Notices of breach or material adverse changes will be sent directly, not solely posted on a website.

You may save or print this Agreement and order records. Email is the agreed channel for routine communications, but this clause does not replace service of legal process or a notice method mandated by law. Where a consumer statute requires disclosures in writing, we will obtain any legally required separate consent to electronic delivery and provide the required information about access, paper copies, and withdrawal. Acceptance of this license alone does not waive those requirements.

20 Disputes and applicable law

Before filing a claim, either party may invite the other to resolve it by written notice describing the issue and requested remedy. The parties will try in good faith to resolve it for 30 days, but this process does not prevent a small-claims filing, urgent protective relief, a regulator complaint, or a filing necessary to preserve a legal deadline.

This Agreement does not require arbitration or waive a right to a jury trial or collective proceeding. This Agreement is governed by the laws of the State of South Dakota, without regard to its conflict-of-laws rules, subject to controlling federal law and any nonwaivable consumer protections that apply to you. Except where applicable law requires otherwise, any dispute arising under this Agreement must be brought in a state or federal court located in Pennington County, South Dakota, and the parties consent to personal jurisdiction and venue there.

21 Changes, assignment, and general terms

The version of this Agreement accepted for a purchase governs the permanent rights acquired through that purchase. Website changes alone do not remove them. New terms may govern a new upgrade, Module, or optional service if disclosed and accepted at that time, without extinguishing rights already obtained. Terms for a future Online Service must be disclosed and accepted at enrollment and may not remove the permanent desktop rights or record protections in this Agreement.

You may move installations among permitted computers without buying a new license, by deactivating the old computer so your total activated computers stay within your Seat limit (Section 3). Transfer of the license to an unrelated person or entity requires our written consent, which we will not unreasonably withhold for a bona fide sale or succession of the covered business if all copies and license obligations transfer and the prior owner stops use. Mandatory legal transfer rights remain unaffected. We may assign this Agreement in a merger, reorganization, or business sale only if the successor assumes the applicable obligations and existing permanent use rights are preserved.

This Agreement and the accepted order and supplemental terms form the agreement for the purchased offering. An order controls expressly agreed quantities, prices, included items, and dates; service-specific terms control only that service and cannot silently remove the permanent desktop rights or record-retrieval protections here. A privacy notice governs described personal-data processing without enlarging the software purchase. No salesperson may change these terms without authorized written agreement.

If a provision is unenforceable, it will be enforced only to the lawful extent or severed, and the remainder continues. Failure to enforce a provision is not a waiver. Neither party is responsible for delay caused by events outside its reasonable control, but must take reasonable steps to reduce the impact; this does not excuse accrued refunds, required notices, or duties that law makes unavoidable. Neither party is the other’s agent. Except for lawful rights of licensors in their components, this Agreement creates no third-party beneficiary rights. Export-control and sanctions laws apply; neither party may require prohibited transactions.
